How much does it cost to open a company in Türkiye in 2026: official figures only

The cost of opening a company in Türkiye is not one number. Some lines are fixed by law (minimum capital, registry fees, the competition payment, the notary tariff), others are set by a chamber or negotiated with an accountant. This guide gives only figures we could confirm in official or consolidated sources, marks the rest as items to check, and shows how the final total is built.

Minimum capital: the largest number, and not a fee

Capital is the biggest line in any budget, but it is not a fee: it is paid into the company and stays there. Since 1 January 2024 (Presidential Decision No. 7887, Official Gazette of 24 November 2023, under Articles 332 and 580 of the Turkish Commercial Code No. 6102) the minimum is 250,000 TL for a joint-stock company (A.Ş.) and 50,000 TL for a limited company (Ltd.). A non-listed A.Ş. that adopts the registered capital system needs initial capital of at least 500,000 TL. For an A.Ş., Article 344 requires at least a quarter of the cash shares to be paid in before registration and the rest within 24 months afterwards; check the current text of Articles 344 and 585 on mevzuat.gov.tr for your company type. Existing companies below these minimums had until 31 December 2026; a Ministry of Trade communiqué of 17 October 2026 extended that to 31 December 2027.

Trade registry fees and the competition payment

The trade registry (ticaret sicili müdürlüğü) charges state fees (harç) at registration. A consolidated copy of the 2026 amounts gives: registration and announcement of a capital company and its trade name, 35,354.50 TL; registration of each person authorised to represent a capital company, 8,598.80 TL; later amendment of a registered entry, 8,598.80 TL. Compare these with your registry before budgeting. A separate payment goes to the Competition Authority: 4 per 10,000 (0.04 percent) of the capital of a new A.Ş. or Ltd. (Communiqué No. 2017/4 as amended by 2024/2, Official Gazette of 1 October 2024). The receipt must be filed with the application, otherwise the company is not registered. On 50,000 TL that is 20 TL and on 250,000 TL it is 100 TL (our arithmetic). The announcement in the Turkish Trade Registry Gazette also has a charge; we found no confirmed tariff, so check ticaretsicil.gov.tr.

Notary expenses under the TNB tariff

Notary costs arise where a signature, power of attorney or certified copy is notarised, for example when a foreign shareholder signs through a representative. The 2026 Notary Fee Tariff (Ministry of Justice, Official Gazette of 30 December 2025) sets, among others: a minimum fee of 58.82 TL per transaction; 80.68 TL per page of each original and copy; a registration fee of 25.21 TL per transaction for acts that must be registered; 67.58 TL per signature approved on exempt documents without a stated value; and an intermediary fee of 18.00 TL. The amendment of 26 August 2026 (Official Gazette No. 33352) changed only Article 11 on travel allowances. For any other act the fee depends on the type of transaction and the value involved, so ask the notary for the exact figure in advance. Foreign documents add separate costs for translation and apostille in the country of issue.

What we do not do. ROSTU is not a notary, not a law firm, not a bank and not an accounting firm. We do not register companies, set any state fee or tariff, or file tax returns, and this guide contains no ROSTU prices. We help foreign owners prepare, translate and apostille the documents, understand which authority asks for what and coordinate with the accountant and the bank.

Accountant, chamber and TOBB

In practice a company keeps its books and files returns through a certified public accountant (SMMM). The minimum fees are set by the annual SMMM and YMM minimum fee tariff issued under Article 46 of Law No. 3568, published in Official Gazette No. 33110 of 17 December 2025 and in force from 1 January 2026. Its annex separates company set-up, monthly bookkeeping and declarations. We could not read the annex, so we do not quote its amounts: open it and remember that it is a minimum, not a price list. Chamber of commerce fees (in Istanbul, ITO) are governed by Law No. 5174: each chamber fixes its registration fee and annual dues every year. According to a consolidated copy of the regulation, the registration fee for a newly founded capital company is between 10 and 15 percent of the gross monthly minimum wage. Read the current tariff on the chamber website.

Tax, SGK and how the total is built

The tax number and the tax plate (vergi levhası) come from the Revenue Administration (gib.gov.tr); in the sources we reviewed there is no separate fee line for them, so confirm this on gib.gov.tr. Stamp tax applies to company documents under the Stamp Tax Law, and we have not verified the current rate. SGK registration matters only when you employ staff; the cost is then monthly premiums that depend on earnings (sgk.gov.tr), not a registration fee. Build the budget in layers: first the capital that stays in the company, then the one-off state charges (registry fee, competition payment, announcement), then notary, translation and apostille, then accountant set-up and chamber registration, and finally the recurring items: monthly accounting, chamber dues, premiums and taxes. Ask each provider for an itemised quote that names the tariff it relies on.

Questions

What is the minimum capital for a Ltd. and an A.Ş. in 2026?

Since 1 January 2024 it is 50,000 TL for a limited company and 250,000 TL for a joint-stock company; a non-listed A.Ş. in the registered capital system needs 500,000 TL of initial capital.

Is the capital a cost of setting up the company?

No. Capital is paid into the company and remains its asset. For an A.Ş., at least a quarter of cash shares is paid before registration and the rest within 24 months (Article 344).

Did the 31 December 2026 deadline change?

Yes, for existing companies: a Ministry of Trade communiqué of 17 October 2026 extended it to 31 December 2027. A new company must meet the minimum from the start.

How much is the Competition Authority payment?

It is 4 per 10,000 (0.04 percent) of the capital of a new A.Ş. or Ltd., and the receipt must be filed with the registry application.

Is the accountant fee fixed by law?

Only as a minimum. The annual SMMM minimum fee tariff sets floors; the actual fee is agreed with the accountant, so ask for an itemised quote.
