Registered address (merkez adresi) in Türkiye: virtual office, shared office, lease or home
Every Turkish company needs a registered address, and the choice between a virtual office, a shared office, a rented unit or a home is not only a cost question. The tax office verifies the address, may send an inspector, and expects a lease or similar document. This guide explains what each option means in practice, what the lease must show, how stamp duty works and how to report a change of address.
What the registered address does
Every company must have a registered address (merkez adresi) that is entered in the trade registry and, through the registry, reaches the tax office. The Turkish Commercial Code requires a business address, and Article 156 of the Tax Procedure Law (VUK No. 213) defines the workplace for tax purposes. The address matters because formal notices are served there. Electronic notification (e-tebligat) has been compulsory for companies since 2016, and a notice sent to an old address that was never updated remains valid, so a missed notice means a missed deadline. Four arrangements are used in practice: a virtual office service, a shared or serviced office, an ordinary rental of a unit, and owned or family premises used as a home office. They differ in cost and flexibility, but the tax office asks the same question of each of them: can this address be verified, and is there a document that links the company to it?
Virtual, shared, rented and home office
Article 156 of the VUK does not mention virtual or home offices by name; commentators have asked for it to be amended, so the legal position rests on the general workplace definition and on what the tax office accepts in practice. A virtual office gives an address, mail handling and sometimes a meeting room, and is usually the cheapest route, but a company whose activity needs physical premises (a shop, workshop, clinic, warehouse) cannot rely on it, because the licence or the activity itself requires a real space. A shared or serviced office gives a desk and a contract for a defined space. A rented unit is the most conventional and the easiest to verify. A home office works for some activities, but the lease or title deed must cover the address. Whatever the option, the fee is deductible only if it is linked to the business activity, so choose by activity first and price second.
What the lease must show
When a company registers or moves, the tax office normally asks for the lease or the title deed of the premises, together with the board decision, the trade registry record and the signature circular for a company. Check that the contract names the exact legal entity (not the director personally), gives the full address including building, floor and unit number, states the term and the rent, and is signed by the person entitled to let the space. A contract in a foreign language will need a Turkish translation. Notarisation is a point on which practice varies: none of the consolidated sources we reviewed makes a notarised lease mandatory for the tax office, yet some offices and banks ask for it. Do not assume either way. Ask the competent tax office what it will accept and keep the answer in writing before you sign anything.
Stamp duty on the lease
A written lease that states a sum is a taxable document under the Stamp Duty Law No. 488, and the duty is proportional: it is calculated on the total rent for the whole term, so a three-year contract is taxed on three years of rent. All signatories are jointly liable, so payment by one of them is enough. The declaration and payment fall due within 15 days of the date of the contract, or by the 26th of the following month if one of the signatories is a continuing stamp duty taxpayer. If the rent is in foreign currency, it is converted at the Central Bank selling rate on the contract date. The per mille rate in the consolidated sources we checked (2018 to 2020) was 1.89; rates can change, so confirm the current figure at gib.gov.tr. The exemption for homes leased by individuals as a residence does not apply to a company renting an office. A simple renewal creates no new document, but an addendum changing the rent does.
Yoklama and reporting a change of address
Yoklama is the tax office’s address inspection: an officer visits to confirm that the taxpayer really is at the declared address. Under the internal circular 2019/5, as summarised in secondary sources, the office may skip the visit where it can verify the address from the population or trade registry records, and visits flagged taxpayers within 15 working days. If the information cannot be verified, a visit follows, so a virtual or shared office should be able to show the contract and receive the officer. When the address changes, VUK Articles 157 and 168 require the new address to be reported to the tax office within one month, by petition or through the Digital Tax Office, and the trade registry entry must be updated as well. The Tax Procedure Law Communiqué No. 546 lets registrable changes reach the tax office electronically, but check that both records match.

Questions
Can a Turkish company use a virtual office as its registered address?
Article 156 of the VUK does not mention virtual offices by name, so acceptance depends on the activity and on what the competent tax office and registry accept. Ask them before you sign.
Does the lease have to be notarised?
None of the consolidated sources we reviewed makes notarisation mandatory for the tax office, but some offices and banks ask for it. Confirm with the office concerned.
Who pays stamp duty on the lease?
All signatories are jointly liable, so payment by one of them is enough. The duty is proportional to the total rent over the whole term.
How long do we have to report a new address?
VUK Articles 157 and 168 require the new address to be reported to the tax office within one month of the change. The trade registry entry must be updated as well.
What is yoklama?
It is the tax office’s inspection visit to confirm that the taxpayer is at the declared address. It may be skipped where the address can be verified from official records.
