Company Launch · Option

A Turkish Ltd. Şti. launched on a compressed, day-by-day calendar — one manager, no idle days between steps

When the contract, hire or tender cannot wait, the launch is run as a schedule, not a sequence. Founder documents, power of attorney, translations, address and SMMM are prepared in parallel; notary, registry, tax office and bank are booked day by day. You see the calendar before we start. One manager, daily status until registration, reply within one business hour.

Who this is for

Founder with a signed contract waiting for a Turkish entity

A client or landlord needs an invoice or a lease from a Turkish company. You need the registration and the tax number first and the rest in a fixed order right after.

Remote founder who will not travel for the formation

You grant a power of attorney at a Turkish consulate or before a foreign notary with apostille, and the company is signed into existence in Türkiye without your flight.

Group with an internal deadline for the subsidiary

A board date, a budget cycle or a transfer-pricing plan needs the Turkish entity to exist by a given month. Parent documents and the local chain must move at the same time.

What you have at the end

At the end you hold a Ltd. Şti. registered in the Trade Registry with its company agreement, appointed manager and signature circular, tax number and tax plate, a registered address, a retained SMMM, e-signature and KEP address, the bank file submitted to two or three banks with meetings booked, and a written calendar for the first 90 days. You also hold the log of every step: what was filed, where, on which day, and what the authority answered.

How the work runs

1

Day 0 · Calendar and intake

In one session we fix partners, shares, manager and signing rights, list every document each founder must produce and issue the calendar: parallel tracks for documents, address, SMMM and power of attorney.

2

Days 1–5 · Parallel preparation

Tax numbers, passport translations and apostilles run while the SMMM drafts the agreement and the address lease is signed. A remote founder signs the power of attorney at the consulate or at a notary abroad with apostille.

3

Registry window · MERSİS and Trade Registry

Name check, MERSİS filing, Competition Authority payment and the registry appointment are pre-booked so they fall on consecutive days. The company exists on registration; the registry sets the actual date.

4

Week after registration · Tax, e-imza, KEP

Tax plate, e-Tebligat and beneficial-owner form are filed with the SMMM inside the statutory windows; the manager receives e-imza and the company its KEP address. The tax office’s own visit schedule applies.

5

Same week · Bank

Registry gazette, signature circular and tax plate go to two or three banks at once; meetings are booked and the manager accompanied. The bank’s compliance review runs on the bank’s clock, which we follow daily.

What stays outside the package

  • Registry, tax office and bank timings — set by those authorities; the calendar plans around them
  • Legal and tax advice on structure — your lawyer or SMMM provides it
  • Share capital, registry fees, notary, consulate and translator tariffs — paid by you directly
  • The bank’s decision — we prepare, present and follow up; the bank decides

Questions

How fast can the company be registered?

The registry decides the date. Our guides record that with a complete file the Trade Registry in İstanbul registers a company usually on the same or the next business day after the appointment, and that name approval to registration takes a few business days. The express format removes idle days on our side; it does not change the authorities’ timing.

Can I found the company without coming to Türkiye?

Yes. A power of attorney drawn up at a Turkish consulate is a Turkish notarial act and needs no apostille or translation. One signed before a foreign notary is apostilled, translated by a sworn translator and certified by a Turkish notary. The attorney signs the agreement and the signature declaration at the registry in your place.

What is the bank timing?

No statute fixes a period for opening a corporate account; our guides record one to three weeks after registration depending on the bank’s review of foreign shareholders. We file with two or three banks in the week of registration and follow each file daily; a bank may refuse opening by proxy, so the manager should be reachable.

Which deadlines start running at registration?

The registry sends the start-of-business notice; the tax plate is due within one month of taxpayer registration, e-Tebligat within fifteen days and the beneficial-owner form within one month. The SGK workplace file opens automatically on registration. The calendar places each filing before its deadline, with the SMMM as filer.
