Your company trading in Türkiye under its own name — a registered branch with a representative and a bank account
A branch lets the parent operate in Türkiye on its own balance sheet, without a new shareholder structure. You receive a branch entered in the Trade Registry with a resident representative, tax registration, SMMM, e-signature, KEP and a corporate account, built from head-office documents that the registry and the bank accept. One manager, weekly status, reply within one business hour.
Exact fee is fixed in the contract after a short clarification of the task.
Who this is for
Foreign company executing contracts in Türkiye
You have Turkish clients or a project and want to invoice and sign under the parent’s name, with Turkish-source profit taxed here and the rest at home.
Group that wants no separate shareholder structure
Head office prefers one legal person, one balance sheet and a representative it appoints, rather than a subsidiary with its own capital and board.
Parent testing a market before a subsidiary
You want to trade from day one and keep the option to convert to a Ltd. or A.Ş. once volumes justify a separate entity.
What you have at the end
At the end you hold a branch registered in the Trade Registry with its MERSİS record, the head-office resolution and corporate documents apostilled, sworn-translated and filed, a representative resident in Türkiye with signature circular, allocated branch capital recorded, tax number and tax plate, registered address for twelve months, a retained SMMM, e-signature and KEP, a corporate account with online banking, the first E-TUYS filing diarised and a compliance calendar for year one. Every document sits in one indexed folder.
What is included
- Structure briefing: branch against subsidiary — liability, tax, profit transfer, banks
- Head-office document list agreed with the registry: resolution, extract, articles, signatures
- Apostille and sworn translation chain for every corporate document, names spelt identically
- Appointment of the representative resident in Türkiye, powers drafted with your lawyer
- MERSİS filing and Trade Registry entry of the branch and its representative
- Allocated branch capital recorded; tax plate, e-Tebligat and beneficial-owner form with the SMMM
- Registered address for twelve months, SMMM engagement, e-imza and KEP for the branch
- Bank pack: parent documents, representative appointment, ownership chart; meetings accompanied
- E-TUYS registration and annual filing calendar, SGK status if the branch employs staff
How the work runs
Weeks 1–2 · Decision and head-office documents
We agree the branch scope, capital allocation and representative with you and your advisers, confirm the document list with the registry and launch apostilles and sworn translations at head office.
Weeks 3–4 · Representative and registry
The representative’s appointment and powers are notarised, MERSİS is filed and the branch is entered in the Trade Registry with its representative. Tax number, tax plate and e-Tebligat follow with the SMMM.
Weeks 4–6 · Address, SMMM, e-imza, KEP
Registered address in place, SMMM contract signed, the representative receives e-imza and the branch its KEP address. The registry and parent documents are indexed for the bank.
Weeks 6–10 · Bank
Parent corporate documents, representative appointment and the ownership chart go to two or three banks in parallel. We book the meetings, accompany the representative and answer every follow-up question in writing.
Weeks 10–12 · First filings
E-TUYS registration diarised, SGK workplace status checked if staff are hired, e-document route agreed with the SMMM, first invoices checked, compliance calendar handed over. Monthly filings pass to the accountant.

Questions
Who is liable for the branch?
The parent. A branch has no legal personality, no shareholders and no articles of association, so its assets and obligations belong to the foreign company. It is registered with the Trade Registry like a domestic enterprise and run by one or more representatives appointed by the parent, at least one of them resident in Türkiye.
Is there a minimum capital?
No statutory minimum applies to a branch, unlike the 50,000 TL for a Ltd. and 250,000 TL for an A.Ş. The parent allocates an amount to the branch when it is set up and that amount is recorded at registration. Your SMMM advises on a figure consistent with the planned activity and the bank’s expectations.
Which documents does head office provide?
Typically the board or shareholder resolution to open the branch and appoint the representative, the registry extract, articles of association and signature evidence, each apostilled in the country of issue and translated by a sworn translator in Türkiye. We confirm the exact list and form with the registry before anything is signed.
How is the branch taxed?
Corporate income is taxed at 25 percent and a branch only on Turkish-source income. Profit the branch remits to head office bears 15 percent withholding (Presidential Decree No. 9286), reducible under a tax treaty. The branch reports to the Industry Ministry through E-TUYS: investor data within a month of a change, the annual form by end of May.
