A Turkish Ltd. Şti. that invoices, pays and hires — with a bank account and a clean first quarter
The limited company is the standard vehicle for a founder who will trade, hire and sign in Türkiye. You receive a Ltd. Şti. entered in the Trade Registry with its manager, address, accountant, e-signature, KEP address and corporate account, and a first 90 days run to the calendar. One manager on our side, weekly status, reply within one business hour.
Exact fee is fixed in the contract after a short clarification of the task.
Who this is for
Sole founder opening a trading company
You will own 100 percent, act as manager and start invoicing clients in Türkiye and abroad. One founder is enough, and capital may be paid within 24 months.
Two to five partners with a clear shareholding
You want each share, each manager and each signing right written into the company agreement before the registry sees it, so later changes stay predictable.
Foreign company founding a Turkish subsidiary
The parent will be the single partner; its apostilled registry extract and board resolution must reach the registry in a form it accepts.
What you have at the end
At the end you hold a Ltd. Şti. registered in the Trade Registry with its MERSİS record, company agreement, appointed manager and signature circular, tax number and tax plate, a registered address for twelve months, a retained SMMM, e-signature and KEP address, a corporate bank account with online banking, and a first-90-days file: SGK workplace status confirmed, e-Fatura/e-Defter route agreed, first invoices checked and a compliance calendar for year one. Every document sits in one indexed folder.

How the work runs
Week 1 · Partners, manager, documents
We fix the partners, shares, manager and signing rights with you and your SMMM, then launch the founder document chain: apostilles, sworn translations and powers of attorney for any founder who does not travel.
Weeks 2–3 · MERSİS and registry
Name check, MERSİS filing, company agreement generated and signed by e-signature or at the registry, Competition Authority payment filed, Trade Registry entry. The company acquires legal personality on registration.
Weeks 3–4 · Tax, address, SMMM, e-imza, KEP
Tax plate within one month, e-Tebligat and beneficial-owner form with the SMMM. Address lease in place, SMMM contract signed, manager receives e-imza, company receives its KEP address.
Weeks 4–8 · Bank
Registry gazette, signature circular, tax plate and ownership chart go to two or three banks in parallel. We book the meetings, accompany the manager and answer every follow-up question in writing.
Weeks 8–12 · First 90 days
SGK workplace file confirmed, e-Fatura/e-Defter route agreed with the SMMM, first invoices checked, capital payments diarised, compliance calendar handed over. Monthly obligations pass to the accountant.

Questions
When must the 50,000 TL capital be paid?
The minimum is 50,000 TL (Presidential Decision No. 7887). Since Law No. 7099 a Ltd. no longer pays a quarter before registration: cash capital may be paid within 24 months of formation. Capital is paid into the company and stays its asset; we diarise the schedule with your SMMM and the registry confirms its practice.
Who can be the manager?
A Ltd. has one or more managers and at least one partner must hold management and representation authority (TTK Art. 623). A foreign individual may be manager. If the manager will live and work in Türkiye, residence and work permits follow separately through the Director Package.
How is a share transferred later?
A share transfer, and any agreement to transfer, must be in writing with notarised signatures, and unless the company agreement says otherwise the general assembly approves it (TTK Art. 595). The change is entered in the share ledger and the Trade Registry, and the bank updates its beneficial-owner records.
Must I register with SGK myself?
Registration in the Trade Registry opens the SGK workplace file automatically (Law No. 5510 Art. 11/3 as amended by Law No. 7099). A separate entry declaration is filed for each employee you hire. Partners of a Ltd. are reported as insured; the SMMM confirms the current position with SGK.
